1. Acceptance of this agreement
This End User License Agreement, referred to as the Agreement, applies to your installation and use of QuickConnect, referred to as the Software. If you do not agree to this Agreement, do not install, copy, launch, connect through, or use the Software.
By installing, copying, launching, or using the Software, you confirm that you have read this Agreement and agree to be bound by its terms.
2. License grant
Subject to your compliance with this Agreement, Nevonix LLC grants you a limited, nonexclusive, nontransferable, revocable license to install and use the Software on devices you own or control, solely for authorized personal use or authorized internal business use.
Installation and use
You may install and use the Software on compatible Microsoft Windows devices, provided you comply with this Agreement and all applicable laws.
Backup copies
You may make reasonable backup copies of the Software solely for archival, recovery, or reinstall purposes.
3. Restrictions
You may not do any of the following except where applicable law requires otherwise:
- Sell, rent, lease, lend, sublicense, distribute, or commercially host the Software.
- Modify, adapt, translate, or create derivative works based on the Software.
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software.
- Remove, obscure, or alter copyright, trademark, attribution, or proprietary notices.
- Use the Software in any unlawful manner or in violation of applicable third party rights.
- Use the Software to access, monitor, control, or transfer data from any computer, network, account, or system without authorization.
- Share passwords, access credentials, connection secrets, or configuration data in a manner that allows unauthorized access.
- Bypass, disable, or interfere with licensing, security, update, or access control features.
4. Ownership and intellectual property
The Software is licensed, not sold. Nevonix LLC and its licensors retain all ownership, title, and intellectual property rights in and to the Software, including all copies, updates, enhancements, artwork, code, and documentation.
This Agreement does not grant you any rights in trademarks, service marks, logos, domain names, or other brand features of Nevonix LLC except as expressly permitted in writing.
5. Updates, online features, and support
Nevonix LLC may provide updates, bug fixes, enhancements, or replacement versions of the Software. Updates may be subject to this Agreement unless separate terms are provided with the update.
Nevonix LLC may offer support, documentation, or online information for the Software. Support is provided at Nevonix LLC's discretion and may be changed, limited, or discontinued at any time.
6. Privacy and data
The Software may interact with your device, operating system, installer, network, remote connectivity features, update services, or app store services in order to install, launch, connect, update, or maintain the Software. Any separate privacy policy or store privacy disclosure provided by Nevonix LLC will control how personal information is handled.
7. Export and legal compliance
You must comply with all applicable laws and regulations when using the Software, including export control, sanctions, and technology transfer laws. You may not use, export, reexport, or transfer the Software where doing so would violate applicable law.
8. Termination
This Agreement remains in effect until terminated. Your rights under this Agreement automatically terminate if you violate its terms. Upon termination, you must stop using the Software and delete or destroy all copies in your possession or control.
9. Warranty disclaimer
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available" without warranties of any kind. Nevonix LLC disclaims all express, implied, statutory, and other warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
You are responsible for determining whether the Software is suitable for your intended use and for maintaining appropriate backups of your systems and data.
10. Limitation of liability
To the maximum extent permitted by applicable law, Nevonix LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business interruption, or other commercial damages arising out of or related to the Software or this Agreement.
To the maximum extent permitted by applicable law, Nevonix LLC's total liability for any claim arising out of or related to the Software or this Agreement will not exceed the amount you paid for the Software during the twelve months before the claim arose, or five U.S. dollars if no amount was paid.
11. U.S. government users
The Software is commercial computer software. If the Software is acquired by or on behalf of the United States Government, use, reproduction, release, modification, disclosure, or transfer is restricted as permitted by applicable federal acquisition regulations and this Agreement.
12. Governing law
This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute arising out of or related to this Agreement or the Software will be handled in the courts located in Florida, unless applicable law requires a different venue.
13. General terms
This Agreement is the entire agreement between you and Nevonix LLC regarding the Software and replaces any prior or contemporaneous understandings about the Software. If any provision is found unenforceable, the remaining provisions will remain in effect.
Nevonix LLC may update this Agreement for future versions of the Software. Continued use of a version that is provided with updated terms means you accept those updated terms.
